Rödl & Partner advises Phytobiotics Brasil on the acquisition of Agroup Brasil Ltda. and subsidiaries in South America

São Paulo, September 2021: Rödl & Partner Brazil assisted Phytobiotics Brasil, based in Londrina, Paraná, a 100 percent subsidiary of Phytobiotics Futterzusatzstoffe GmbH based in Eltville, Germany, on the acquisition of the remaining 74.8 percent of shares in Agroup Brasil Ltda. The target is a holding company with shares in feed additive distribution companies in Argentina, Colombia, Peru and Panama as well as shares in a fertilizer producer/seller company in Brazil. The Phytobiotics group is a leading global manufacturer and distributor of high-quality products for the animal production, agriculture and biogas industries with sustainable, science-based solutions and consulting services.

An interdisciplinary team led by our transaction experts Philipp Klose-Morero (Managing Partner South America) and Enrico Pfändner (Associate Partner) from our São Paulo and Curitiba offices advised Phytobiotics Brasil, encompassing a Red Flag Due Diligence (financial, tax, labour and corporate service due diligence as well as coordination with the legal advisor) and support with SPA negotiations.
