Rödl & Partner advises Sunwin on the acquisition of Outlast Technologies GmbH

Stuttgart/Munich, October 16, 2024: Rödl & Partner has advised Shanghai Sunwin Industry Group Co., Ltd. (‘Sunwin’) on the acquisition of Outlast Technologies GmbH (‘Outlast’) based in Heidenheim an der Brenz. The Chinese Sunwin Group specialises in the design of home textiles. Outlast is an expert in textile heat regulation and insulation and is internationally recognised for its solutions.

Sunwin has a longstanding partnership with Outlast. This acquisition is an important step for the future strategic and international orientation of Sunwin. It will also contribute to the expansion of core competences in research, development and application of new materials as well as creative product design. Following the acquisition, the group aims to accelerate technological innovation and global expansion.

Rödl & Partner provided Sunwin with comprehensive legal advice, in particular on the due diligence review, the purchase agreement negotiations and regulatory approvals. Jiawei Wang from Stuttgart (Partner, Head of the China Desk) and Thomas Fräbel (Partner M&A, Capital Markets) from Munich were responsible for project management and coordination. Associate partner Claudia Geercken from Munich advised on foreign trade law and, in particular, accompanied the investment control procedure with the Federal Ministry of Economics and Climate Protection. In China, Sunwin was supported by Allbright Law Offices from Shanghai, led by Jennifer Chen, on foreign exchange control and capital market law issues. In addition, RSM Ebner Stolz advised Sunwin on tax and commercial matters with a team led by Ran Chen and Wolfgang Alexander Klövekorn from Stuttgart. TH Capital, based in Hong Kong, acted as M&A advisor to the buyer.

Outlast was advised by an M&A team from SNP Schlawien in Munich led by Dr Philipp Schlawien and Dr Armin Fary. The law firm Helmer und Partner mbB advised the sellers on tax law and Blomstein Rechtsanwälte from Berlin on foreign trade law issues. MP Corporate Finance, based in Vienna, acted as M&A advisor.
