Rödl & Partner advises Heidelberg Engineering on the acquisition of the UK’s Medisoft Ltd

​Nuremberg, 18 April 2017: Heidelberg Engineering, a company offering high-tech imaging solutions and diagnostic instruments for eye care professionals, acquired all shares in Medisoft Ltd.. Medisoft is the leading supplier of electronic medical record (EMR) systems for ophthalmologists in the United Kingdom, with its software solution, mediSIGHT, being increasingly offered on international markets. The parties agreed not to disclose the purchase price.
 

The acquisition by Heidelberg Engineering is another step towards becoming the leading supplier of IT solutions for eye care professionals – a goal which the company has consistently pursued in the context of its strategic direction. In addition to integrated solutions using networked diagnostic instruments, image archiving communications systems (PACS) and EMRs, this eye-care solutions company will sell individual modules also on a standalone basis in future. At the same time, Heidelberg Engineering also intends to support the internationalisation of Medisoft and the marketing of other components of the mediSIGHT software.

Rödl & Partner’s M&A Team led by Partner Christian Hellbardt advised Heidelberg Engineering on the acquisition of the software company. The focal points of the advisory service included business valuation and interdisciplinary Financial and Tax Due Diligence. In addition, Rödl & Partner advised the buyer on financial and tax issues during negotiations and in the course of structuring the M&A deal.
