Rödl & Partner advises Arteco on New Coolant Production Business in China

Arteco NV, established in 1998 as a joint venture between Chevron and Total Energies with headquarters in Belgium and a subsidiary in Shanghai, is a leading company in the development and manufacturing of high-quality antifreeze coolants and heat transfer fluids. The company is known for its innovative and efficient solutions that provide optimized thermal heat transfer and corrosion protection for cooling systems.

The project included the construction of a new production facility in Nantong, Jiangsu Province, and extends capabilities beyond the production of coolants for traditional combustion engines. The facility will also produce heat transfer fluids for all types of new energy vehicles (NEV), including electric, hybrid, and fuel cell vehicles.

The legal advisory was led by Partner Sebastian Wiendieck, Head of Legal Practice China, Shanghai, and Associate Partner Bei Li. The legal services include support to Arteco for Legal Due Diligence, contract draft and negotiation, risk management, compliance for local and international legal regulations and intellectual property protection.

In the area of financial and tax advisory the project was led by Partner Vivian Yao, Head of Tax China, and Partner Frances Gu. They supported Arteco in Financial and Tax Due Diligence, negotiation of the contract term as well as the provision of tax solutions with the negotiation with the relevant authorities. 

The ceremonial inauguration of the production facility took place on 12 March 2024. The new facility marks an important step in Arteco’s expansion in the Asian market and reflects its significance for the regional economy and Arteco’ global presence.
