Rödl & Partner advises Bellmer GmbH on the agreement to acquire Metal Service, Rio do Sul, Santa Catarina – Brazil

São Paulo, August 2024: Rödl & Partner South America assisted Bellmer GmbH, based in Niefern-Öschelbronn, Baden-Württemberg, Germany, on the agreement to acquire 100 percent of shares in the Brazilian company Metal Service Ltda. located in Rio do Sul, State of Santa Catarina – Brazil.

Bellmer GmbH is an international technology supplier with two divisions Paper Technology focused on paper & board machines and Separation Technology for water and sludge treatment. The target Metal Service is focused on project business regarding the manufacturing of machinery for the paper industry in Brazil and other South American countries.

An interdisciplinary team led by our transaction experts Rafael S. Martins (Partner Consulting South America), Enrico Pfändner (Associate Partner Corporate Finance) and Michael Löb (Associate Partner Tax) from our São Paulo office advised Bellmer GmbH, encompassing a Red Flag Due Diligence (financial, tax, labour) and support with Term Sheet and SPA negotiations.
