Uzbekistan: Improving the business environment

President Shavkat Mirziyoyev has approved important amend​ments to the law​, which were published on the Lex.uz platform on 7 February 2025. These amendments update the existing regulations on the legal relations of companies in Uzbekistan and intro​­duce new regulations to improve the legal environment for companies.

One of the most important innovations is the introduction of the legal status of the institutions of partnership agreement, consortium and consortium agreement. This innovation is of great importance for the development of corporate law in Uzbekistan, as it significantly expands the possibilities of participants in business entities to flexibly organize their relationships and interactions.

In addition, the form of the additional limited liability company will be abolished as a separate legal form. The registration of limited liability companies (LLC) will be simplified: the mandatory state registration of the ar­ticles of association and its amendments will be abolished.

Further changes concern the procedure for the transfer of rights and obligations in the event of mergers, take­overs and conversions of legal entities. According to the new provisions, the rights and obligations arising from these corporate transactions are automatically transferred to the transformed legal entity, regardless of whether this is provided for in the act of transfer. This simplifies the succession process, reduces legal risks and prevents possible defects in the transfer of obligations, which contributes to greater legal certainty in such transactions.

These changes will enter into force on 8 May 2025 and are intended to create a more favorable legal envi­ronment for doing business in Uzbekistan.​​​​
